Italian Equens S.p.A. fully integrated into Equens Group

As of 1 January 2011 Equens Italia S.p.A. has been renamed Equens S.p.A. The company has become a 100% subsidiary of Equens SE as of that date. Equens Italia S.p.A. was established in 2008 by the Italian ICBPI and Equens SE as a 50/50 joint venture. The full integration of Equens S.p.A. into Equens SE is an important step in the continued growth and continuity of Equens as a pan-European cards and payments processor.
Shareholders base
The shares in the joint venture Equens Italia, held by ICBPI (50%), were transferred to Equens SE. In exchange ICBPI received an additional 10% of the shares of Equens SE, meaning that ICBPI now holds 20% of Equens' shares. Below the overview of the shareholders base:

- ICBPI (Italy): 20.0%
- ABN AMRO (Netherlands): 18.4%
- ING (Netherlands): 15.4%
- Rabobank (Netherlands): 15.2%
Changes in governance
Alessandro Baroni replaces Giuseppe Capponcelli as a member of the Board of Directors.
The Supervisory Board of Equens SE was extended from 9 to 11 members. Giuseppe Capponcelli now is a member of the Supervisory Board, where he represents ICBPI. Also Thomas Ullrich from DZ BANK became a member of the Supervisory Board.
